Head of M&A Finance and Valuation
Genaesis, LLC is a business advisory firm seeking a transaction professional with significant M&A and finance experience to join our team. This is a unique role with the flexibility to lead client engagements, as well as supporting buy-side and sell-side transactions on critical valuation, cashflow, and operational diligence.
For our buy-side and internal sell-side valuation process, Genaesis produces the initial deal modeling based on preliminary company and market data, as well as input from potential outside capital providers, to determine recommended deal valuations and structure. This process provides a data-driven foundation for deal negotiation and is critical to closing well-structured transactions.
Critically, we often are often analyzing small to mid-cap companies with $15-$150m in revenue, often having QuickBooks accounting systems, unreviewed financial statements, and outside accounting support from professionals having little to no experience with M&A. In addition to valuation and reasonableness assessments, this role aids buyers and sellers with important accounting issues including understanding and negotiating working capital thresholds, EBITDA adjustments, and post transaction cash-flow assessments.
Fundamentally, this role needs to provide the financial leadership necessary to prepare these companies for a transaction and manage issues in real-time to ensure a successful close.
Core Responsibilities
Working closely with internal teams driving deal-flow and deal-management, the Head of M&A Finance and Valuation will lead deal modeling, structuring and negotiation for Genaesis buy-side and sell-side clients.
Developing detailed financial models and valuation analysis for potential transactions. Ability to recreate financial statements from general ledger data a plus.
Understanding key value drivers of potential deals and communicating to both finance and non-finance stakeholders the strategic and financial rationale behind a transaction.
Lead negotiations of transaction terms with buyers and sellers, and introduce potential transactions to unaffiliated third-party capital partners
Interfacing with finance, legal, tax and other professionals to ensure seamless deal execution and post-transaction success. Ability to support outside advisors with Federal Government contract due diligence a plus.
Lead all internal financial and tax matters for Genaesis corporately.
Participate in thought leadership opportunities both nationally and internationally.
Job Requirements
Experience leading mergers and acquisitions in a diversity of industries, with GovCon or corporate venture investment a plus.
Minimum 8-10 years of experience in private equity, venture capital, corporate M&A, and investment banking (preferably in the M&A group).
Bachelor’s degree with significant accounting, business, or finance coursework required; Master’s degree, CPA, or equivalent preferred.
Demonstrated experience in modeling, analysis, and due diligence.
Outstanding written and oral communication skills.
Expert-level knowledge of Microsoft Excel and PowerPoint.
Experience working effectively as part of a small team, with client facing responsibilities.
Ability to thrive in a fast-paced, high-pressure environment.
