Genaesis Advises Both Parties on BCS’s Acquisition of Allegient Defense
Genaesis advised both BCS, LLC and Allegient Defense, Inc. in a disclosed joint representation.

BCS, LLC, an applied research and systems engineering firm serving the Department of Energy, has acquired Allegient Defense, Inc., a systems engineering and technical assistance provider to the Department of Defense based in Arlington, Virginia. The combined company operates as BCS Allegient.


Allegient Defense provides systems engineering and technical assistance in tactical communications, surveillance, wireless systems, and electronic warfare. Its customers include the Office of Naval Research, the Defense Advanced Research Projects Agency, and the Departments of State and Energy.
The acquisition extends BCS from its Department of Energy base into the defense market.
Allegient Defense was acquired from NowVertical Group Inc., which disclosed gross consideration of up to $12.5 million: $7.5 million in cash at closing, a $1.0 million secured promissory note payable within eighteen months, and up to $4.0 million contingent on revenue milestones.
Genaesis served as advisor to both BCS and Allegient Defense under a disclosed joint representation.
